Transport infrastructure project financing: the role of public-private partnership (PPP)

Since transport infrastructure project financing has traditionally been the responsibility of the state, public-private partnership (PPP) instruments with the direct participation of central governments and local governments play an important role in this context.

The effective development of transport infrastructure is critical for maintaining links within the national and international economic space, free movement of goods and services, competition and freedom of commercial activity, and improving the quality of life of the population.

CP Finance UK Finance has brought together a team of experienced financial and investment experts from different countries to help private companies and government agencies in financing PPP projects (toll roads, bridges, subways, train stations and more).

Among other things, we offer long-term loans, credit guarantees, project finance (PF) schemes, investment engineering services, project management, and much more.

The role of PPP in the financing of transport infrastructure projects

The fulfillment of the entire range of tasks for the development of transport infrastructure cannot be fully borne by the state.

A very promising mechanism for attracting free funds is public-private partnership, which over the past few decades has become one of the most important innovations in public investment policy around the world. However, despite the highest potential, experts draw attention to the many constraints in financing PPP projects that are typical for developing countries with immature financial markets and imperfect legislation.

Constraints on funding public-private partnership projects include the following:

• Insufficient development of the legislative framework.
• Corruption and excessive political interference.
• Inefficient planning and operation of facilities.
• Insufficient support from the state.
• Slow standardization processes.
• Lack of experience etc.

The world investment practice shows that the introduction of various models of public-private partnership in the transport sector is gaining momentum.

This is especially noticeable in the construction of roads, large tunnels and bridges, which ensure the successful implementation of strategic transport development programs under the control of the government.

In order to attract private capital, effectively manage projects and introduce modern technologies, it is important for the state to find such an economic and organizational mechanism that would support the interest of private investors. In addition, it is necessary to organize a fair tender procedure based on an effective system of criteria for evaluating proposals and increasing the chance for successful implementation of a transport infrastructure project financing

This approach also reduces the overall social costs and risks associated with the project.

The need to develop public-private partnership mechanisms and attract non-budgetary sources of financing can be largely explained by the scale of the tasks of developing the transport system, along with the limited resources of governments.

The most common PPP models applicable to the transport industry include the following:

• Concession agreements of various types and structure.
• Government contract for the maintenance of an infrastructure facility.
• Life cycle contract and other types of contractual relationships.

At the pre-project stage, when property rights are clearly defined, an investment agreement is concluded between the state and a private investor with the establishment of a capital structure and rights to the created objects. An agreement can also be signed for capital investments in a state-owned facility, according to which investors return their funds during the operation of the facility.

Financing schemes for PPP projects in transport infrastructure

The concession agreement is considered the most common organizational structure in terms of the number of transactions and the amount of private capital raised to finance infrastructure projects in the world.

The concession is widely used for the implementation of socially significant projects, making it possible to harmoniously combine the interests of private companies and the state.

The interest of the parties in signing the concession agreement comes from three main principles:

• The concessionaire is responsible for the construction and operation of the facility with a clear understanding of how to minimize the cost of construction and long-term operation.

• Investments in infrastructure construction are based on mutually beneficial financial terms.

• The organization of the project allows financing faster than through budget financing.

These principles significantly expand the freedom of partners in drawing up an agreement.

Life Cycle Contract, which in some countries is called DBFM (Design-Build-Finance-Maintain), is one of the varieties of concessions. This type of contractual relationship provides for the operation of infrastructure facilities free of charge, in contrast to the concession model, which is based on the principle of paid services (toll roads). In this case, the government enters into a contract for the design, implementation and operation of the facility and makes payment to the private contractor after the commissioning of the facility and during its life.

The operation and maintenance of the facility is entrusted to a private partner in accordance with the terms of the contract.

The contracts developed under this scheme for the transport industry are complex long-term contracts of an investment nature. On their basis, a private contractor-investor designs, finances and builds a highway or other infrastructure facility, and then manages the facility for a long period of operation, ensuring the maintenance and repairs at the service level specified in the contract.

The main sources of transport infrastructure project financing include funds from budgets of different levels and funds from private sectors.

In principle, resources from credit institutions, funds from international financial institutions and private investors, and funds from institutional investors also help in Transport infrastructure project financing.

The high cost of capital in developing countries imposes some restrictions on the financing of PPP infrastructure projects. In such countries, two schemes for financing complex long-term contracts seem to be the most appropriate. Both schemes are variants of PPP with the involvement of non-budgetary sources of financing for the implementation of the investment part of the project.

The first scheme involves the design and construction of a transport facility at the expense of budgetary and non-budgetary sources of funding. During the design and construction phase, the contractor receives a partial payment for the work performed (usually 50-80% of the cost of the work), financing the rest of his costs from his own and borrowed funds. The rest of the cost of the investment part of the project, including compensation for the cost of attracted private capital, is paid to the contractor during the operation phase.

Also, during the operation phase, the contractor receives regular payments for maintenance and repairs from the state customer.

The second scheme involves the design and construction of transport infrastructure entirely at the expense of non-budgetary sources of funding. Design and construction works are fully financed by the contractor at the expense of his own funds and attracted financing (credits, bonds, etc.). The government starts paying for the investment part of the project, including compensation for the cost of attracted private financing, from the moment the facility is put into operation.

Payment is made in regular installments until the expiration of the contract.

During the operation phase, the contractor receives regular payments from the state customer for the main order, as well as for the maintenance and repair of the facility.

These schemes are characterized by different levels of risk for potential contractors and different expected rates of return and other performance indicators. The need for private capital in the second financing scheme is much higher, due to the longer period for the project to be paid by the state. This approach is considered more risky for banks and is more dependent on loans, and also imposes higher requirements on the sustainability and solvency of the project.

In the world practice of financing, there are a large number of financial mechanisms through which PPP projects are implemented.

These mechanisms vary depending on the sources of funding:

• Funds from budgets of different levels.
• Funds of public financial institutions of all types.
• Resources of private companies and investors.
• Funds of public structures and non-profit organizations.
• Credit resources of local financial institutions.
• Funds of international financial institutions (IFIs).

Transport infrastructure project financing is implemented through various mechanisms, the most common of which are corporate finance, project finance (PF) and public funding.

In general, PPP includes a wide range of multilateral contractual relations between the public and private sectors in the field of transport infrastructure development.

World experience in using PPP in financing infrastructure projects

Between 1990 and 2015, 1,653 public-private partnership projects were developed in the transport industry, of which 10.5% were for construction and reconstruction of airports, 7.7% for railways and 25.9% for seaports.

The largest share (55.9%) of PPP projects was implemented in the areas of construction, reconstruction and repair of roads, bridges and highways. The volume of public-private partnership investments in the road industry over these 25 years amounted to 248.35 billion US dollars, of which 67.4% accounted for concession agreements.

Analysis of the experience of foreign countries in the field of financing PPP projects shows some differences in such funding. For example, in the United States, the decisive role in PPP is played by the state, whose leadership is the most important factor at the stage of project approval and in the process of its implementation. State control takes the form of regulation of tolls, rates of return on investment, as well as supervision over the operation and technical condition of facilities.

Public companies play an important role in public-private partnerships in the United States.

These are large enterprises created by the government, as well as state and municipal governments on a commercial or non-commercial basis.

Such companies are always owned by the federal government or local authorities.

The development of PPP projects in the United States is regulated by the Ministers of Economy and Finance, as well as the Department of Defense and other central authorities. Innovative forms of PPP project funding should also be identified. In the United States, State Infrastructure Banks (SIBs) have been established since 1995 under the National Highway System Designation Act to provide affordable loans for municipal transportation projects.

SIBs can issue bonds backed by the bank’s capital and payments on loans from a pool of local borrowers, which helps reduce risk for investors. The SIB also offers credit guarantees that allow private sponsors to borrow money at lower interest rates, as well as grants. However, SIBs cannot use public funds as grants.

Through this structure, the government can increase its debt limits, especially if the debt is secured by fees for the use of toll infrastructure or other fees.

In Canada, transport infrastructure project financing using PPPs are actively implemented primarily at the regional level.

The state organizes its regulatory activities in the field of partnership with private business in three main areas:

• Formation of the general strategy and principles of business relations with the society as a whole and with the state power.

• Establishing a favorable legal environment for the development and implementation of partnership projects.

• Direct organization and management of public-private partnerships, including regulation of financial mechanisms.

The main feature of PPP is an adequate added value, sufficient to interest potential participants.

The Department of Finance and the Public-Private Partnership Center are fully responsible for the implementation of PPP projects in Canada.

In Germany, the Ministry of Finance and regional financial authorities, as well as communities, are responsible for the development of PPP infrastructure projects. Two financing models are used, such as project finance (raising private capital against future financial flows of the project, without a guarantee from the public sector) and forfaiting (financing with guarantees from the public sector).

The organization and management of PPP projects in France is carried out by a specially created PPP Development Center, which is a structural unit of the Ministry of Finance.

The main forms of public-private partnership in France include concessions and leasing agreements. It is important to note that PPP projects are mainly implemented in the field of transport infrastructure. 95% of projects are implemented at the local level. PPP projects are financed mainly from budget funding and private corporate sources.

The main form of PPP contracts in the UK is the so-called private finance initiative, in which a private company receives an order from the state (agency, local government or other public institution) to provide certain services. A special infrastructure financing center has been set up at Her Majesty’s Treasury to ensure the sustainable development of infrastructure projects and attract additional funding.

Project finance (PF) is considered to be the priority method of financing PPP projects in the United Kingdom.

In Austria, Denmark, Australia, Israel, Finland, Spain, Portugal, Belgium, Greece, South Korea, Ireland, Singapore, much of the funding goes to PPP projects related to the construction and modernization of roads.

They lag far behind other infrastructure projects, including health, education, water and sanitation.

In the group of Eastern European countries, which includes Bulgaria, the Czech Republic, Hungary, Croatia, Poland, Romania, the Baltic countries, PPP projects are mainly implemented in the field of transport infrastructure: construction and reconstruction of roads, ports, railways, bridges and tunnels, light rail (LRT) and airports.

Funding the construction of hotels: general information

Companies taking their first steps in the funding the construction of hotels and hospitality business often experience difficulties in financing projects.

Sometimes they don’t have experience in the industry, they don’t have a credit history, and they don’t even have adequate collateral.

Obviously, before starting any capital-intensive project, it is critical to conduct a comprehensive study of the company and consult with the top management who plans to invest in the hotel. This work should address the possibility of obtaining funds to finance the project and analyze the most effective ways to attract them.

Financing of large projects in the hotel business can be carried out using a wide range of internal and external resources.

Equity capital can be generated as a result of current operating activities (for example, current income from other hotels, retained earnings, depreciation, sale of assets), as well as by increasing the company’s authorized capital. An increase in the authorized capital can be carried out through contributions of the owners or by attracting new partners (issue of new shares).

An important way to raise capital is the cooperation of the hotel business with venture capital funds. Venture capital funds are involved in high-risk projects with above-average potential returns. As a rule, such projects are not accepted by large banks due to an excessively high level of risk.

The most common debt securities that serve as an instrument for funding the construction of hotels and hospitality facilities  are bonds.

Other securities that are used relatively rarely include bills of exchange and warrants.

Bonds are securities issued in series, in which the issuer confirms the debt to the creditor and undertakes to perform a specific action in relation to him. Bonds come in different types depending on the type of issuer, maturity, face value, interest rate, additional options and ways to minimize the investment risk of a particular project.

Hotel project funding: construction lending

As the pandemic draws to a close, the hospitality industry is looking to the future.

The basis for the recovery and prosperity of this industry is funding the construction of hotels and affordable long-term loans for new facilities or the reconstruction of existing ones.

By 2020, hotel construction around the world was at a high level, requiring multi-billion dollar funding for nearly 15,000 new projects with more than 2.4 million new hotel rooms.

Today, financial institutions and other providers of capital are extremely cautious about funding new projects, which requires more comprehensive research and analysis, as well as increasing the demand for professional support and management of investment projects.

CP Finance UK is ready to offer your business long-term financing for the construction and modernization of hotels in Europe, the USA, Canada, Latin America, the Middle East and South and East Asia.

Long-term funding for hotel construction

Until recently, bank loans have been the most common external source of funding the construction of hotels.

When choosing loans, experts recommend that companies carefully read the policy of a particular bank regarding commissions and additional fees charged to customers.

The offers of banks are as diverse as the terms of financing.

Since banks strive to ensure a high return on capital, the cost of a loan consists of several elements, such as a fee for processing a loan application, a commission for providing funds, interest, and more.

As part of a credit relationship, the bank provides the company with funds, and the borrower is obliged to repay them with interest due in accordance with the loan agreement. Investment loans for the construction of hotels are often provided for a period of 7-10 years or more.

Together with an investment loan, a loan for replenishment of working capital can be issued, which provides additional benefits to project participants. The procedure for applying for a loan requires submitting to the bank the results of studies related to the funding of hotel investments. These include a business plan, financial plan, estimate, project documentation and other documents.

In the hotel industry, important indicators for lenders are, among others, the RevPAR index (profitability of an available room), NOI (net operating income), LTV (loan-to-value ratio), NCF (net project cash flow) and others.

During the negotiation process, the main provisions of the future loan agreement are formulated, such as the accrual of a penalty for early repayment of the loan, the possibility of recourse and requirements for additional borrowing.

The results of the analysis of the loan application and the response of the bank will largely depend on the existing credit risks and the creditworthiness of the company. The level of risk is significantly affected by the availability of liquid collateral. Such collateral can be a land plot, as well as a financed hotel complex, movable property of the borrowing company, financial assets, etc. The collateral provided, its value and liquidity affect the final cost of borrowed funds.

To increase the chance of obtaining a loan for the construction of a hotel, experts recommend using such auxiliary tools as guarantees.

In many cases, additional mechanisms are being developed to ensure debt repayment, such as a guarantor’s application to enforce financial obligations (restrictions on the payment of dividends to shareholders, etc.).

An important point that is taken into account by banks when considering a loan application is the borrower’s financial participation in the project.

The more significant the initiator’s participation in funding the construction of hotels, the higher the chance of obtaining a loan on favorable terms.

Most often, credit institutions require the financial participation of the project initiator at the level of 30-60% of the total cost of the hotel.

However, some financial mechanisms make it possible to implement a project with the participation of the initiator at the level of 10% or even lower.

In the case of granting loans to the hotel business in foreign currency, the currency and interest rate risk is additionally increased. The bank can reduce the interest rate risk by obliging the borrower to enter into an IRS (interest rate swap). This means replacing fixed interest rates with floating interest rates.

Currency risks are also minimized through hedging (futures contracts).

The IRS refers to an agreement between two counterparties to exchange a fixed interest rate for a floating interest rate. The floating interest rate is set for a partial period based on the base rate (eg EURIBOR or LIBOR). This tool serves as a hedge against adverse changes in interest rates. The agreement is concluded for a certain period of time.

The key document on which hotel business lending is based is the loan agreement. The loan agreement specifies the specific purpose of the loan, the terms of its repayment, the currency of the loan, the collateral and the repayment schedule. The preparation of this document requires a professional approach and repeated consultations between representatives of the bank, the borrower and other interested parties.

Due to the high social significance of certain investment projects, the state, as a regulator, can pursue a policy of economic stimulation of priority sectors. In particular, the government may support environmental, infrastructure, high-tech projects or projects aimed at improving the situation of certain social groups.

Private hotel projects can rarely rely on government support, but in some cases support is provided in the form of loan subsidies and guarantees. Ultimately, these solutions reduce the need for equity capital and reduce the value of the collateral provided.

Leasing as a tool for funding the purchase of hotels

Leasing or factoring can be alternative instruments for Funding the construction of hotels.

These instruments can be used, for example, to finance the purchase of hotels. In practice, there are two types of leasing: operating leasing and financial leasing, which have certain limitations.

Operating lease actually refers to obtaining the right to use property for periodic lease payments and without the obligation to buy the property at the end of the term of the agreement. The asset remains the property of the lessor and is recorded on the lessor’s balance sheet. The lessee’s expenses represent the cost of the monthly lease payments and part of the down payment, determined depending on the planned length of the lease period.

Financial leasing essentially means “leasing” financial resources (funds).

The lessee becomes the owner of the asset, which is recorded on his balance sheet. This fact is of great importance for calculating depreciation and tax liabilities of the company.

Attention should be paid to leaseback, when the owner of an asset sells it to a leasing company and becomes its lessee on the basis of a separate agreement. Through such a transaction, the company receives an immediate cash inflow and continues to use this asset (hotel complex).

Factoring is a type of commercial transaction in which a specialized financial institution (factor) acquires claims for payment of money that a client owes to another party as a result of its current activities.

The conclusion of a factoring agreement can significantly speed up the implementation of current investment projects and increase liquidity.

The role of a business plan in hotel financing: investment consulting services

As we said above, the role of professional investment consulting services in hotel project financing is steadily growing.

This can be easily explained by the tightening of requirements in the financial sector, which is looking for reliable and well-prepared investment projects in order to avoid losses. An important role in attracting funding belongs to a solid business plan, which should reflect the potential opportunities, risks and limitations of the project.

Whether it’s a bank or an investment fund, the hotel’s business and financial plan will be key when deciding whether to provide large funds.

Potential lenders or investors want to know more about the history of the company, its current results, owners, services, the position of the hotel in the tourism market, its development strategy and competitors.

The business plan describes the history of the company and its development plan for the future.

It defines the mission and strategy of the company, its goals, resources, market, target group of customers and direct competition. Essentially, a hotel business plan is a plan of action, according to which investments will be realized and results will be achieved in the future. It should present a realistic picture of the future based on previous analyzes and studies, contracts and plans.

A detailed financial plan for a hotel project is designed to answer any questions about the expected financial results in a certain period.

This plan is drawn up on the basis of reports, balance sheets, analysis of financial flows and changes in the company’s capital structure. The finance team should pay particular attention to standard project financial performance indicators, sensitivity analyses, loan maturities, schedule of financial needs, etc.

A very important element of the financial and economic plan is the operational forecast, compiled in accordance with USALI (The Uniform System of Accounts for the Lodging Industry). This generally accepted system requires taking into account hotel services, organizational structure, staff motivation, hotel occupancy levels, service profitability, fixed costs, and much more.

The success of the project will largely depend on whether your company can obtain the necessary funding on adequate terms.

In general, the more effort a team puts into a hotel’s business plan and financial planning, the more detailed, substantiated and persuasive documents a company can provide to potential investors and lenders.

A company that specializes in this type of consulting and has the knowledge, practice and ability to raise capital can help achieve this goal.

Obtaining large investment loan in Canada

A positive credit history is crucial for investment loan approval in Canada. Financial institutions assess your creditworthiness based on this history. Regularly monitoring and maintaining a favorable credit report enhances your chances of securing loans.

Canada has a well-regulated banking sector. Understanding the nuances of each bank or credit union, their services, and regional focus helps tailor your approach when seeking financial partnerships.

Effective negotiation is essential. Articulate your business’s financial health, growth plans, and how the loan aligns with your objectives.

Canada offers government-backed programs and incentives to support businesses. Leveraging these initiatives can provide additional avenues for securing financing with favorable terms.

Major financial institutions in Canada prioritize businesses that demonstrate effective risk management. Understand and mitigate potential risks associated with your industry or business model to enhance your credibility.

Traditional bank loans offer stability and competitive interest rates but often require a strong credit history and collateral. Government-backed loans, like those from the Business Development Bank of Canada (BDC) or Export Development Canada (EDC), provide additional support, with much more flexible terms and lower interest rates for eligible businesses.

Loans for business in Canada issued by private investors, another avenue, offer tailored solutions with potentially faster approval processes. However, interest rates can be higher, reflecting the increased risk.

Each loan type has specific eligibility criteria, interest rate structures, and repayment terms.

A thorough analysis of these factors is essential in aligning the financing strategy with the unique needs of your business project in Canada.

Exploring modern Canadian financial terrain involves understanding the unique aspects of the country’s banking sector, considering regional variations, and aligning business strategy with the expectations of financial institutions to foster successful partnerships.

CP Finance UK is ready to help you implement capital-intensive business projects, including by attracting a long-term investment loan in Canada and other countries of the world on favorable terms.

Industrial and commercial loans for wind farms: bank lending

Structured financing of large-scale infrastructure and investment projects

Selecting the right sources of funds and financial instruments for infrastructure and investment projects is one of the most important tasks of modern business. Today, structured financing of large-scale projects has numerous advantages for enterprises in energy, infrastructure, heavy industry, agriculture, real estate and tourism, taking into account high flexibility and access to important resources.

The development of the financial market enables companies to use an ever wider range of financial instruments adapted to their capital needs, risks and the changing conditions of the competitive environment.

Infrastructure and investment projects has many advantages for fast-growing businesses in infrastructure and significant resources.

CP Finance UK offers structured financing of large investment projects worldwide with participation of reputable high-net-worth angel investors, venture capital funds and large private investors.

Innovative business financing tools for Infrastructure and investment projects

The financial strategy of the business, which covers all aspects of its development, plays a key role in achieving these goals. A company’s investment and financial strategies may be based on traditional financing instruments, but in recent years new solutions have emerged that increase the efficiency of doing business and contribute to increasing its value.

However, the extremely limited choice of financial solutions reduces business flexibility and makes it impossible to benefit from more sophisticated financial instruments.

A traditional financial strategy uses well-known capital-raising instruments, such as stocks, syndicated bank loans, and numerous long-term and short-term fixed-rate debt instruments.

On the other hand, an innovative financing strategy for large projects (e.g., hybrid instruments and structured products), allows the business to flexibly shape the capital structure best adapted to the company’s financial needs and market environment.

The primary goal of any business is to maximize its value and benefit to its owners.

Achieving this goal requires making the right decisions and using tools that precisely match the current market conditions and financial needs of the company.

It is utmost important  to differentiate the relationship between financial innovation transition and technological innovation.

Implementing technological innovation to improve a company’s competitive advantage often requires finding innovative sources and tools to finance operations. This is especially relevant for ambitious start-ups, when traditional forms of financing are not available due to high investment risk and high cost of capital.

We are interested in financing projects in energy, infrastructure, heavy industry, real estate, tourism, waste processing and other sectors.

Structured financing of large-scale projects: types and characteristics

Structured finance for investment projects combines traditional instruments with various derivatives. This means that the financial benefits of the parties depend on changes in a number of market parameters, such as interest rates, exchange rates, commodity prices, etc. Using a combination of several financial instruments, the business gets new opportunities in terms of attracting capital, meeting the expectations of investors.

Products offered for structured financing for large-scale projects are in the following parameters:

• Structured investment certificates, etc.
• Structured bonds.

Breaking the deposit agreement before maturity usually results in deduction of a portion of the deposited funds and non-payment of interest.

The profit of a bond purchaser depends on changes of certain market parameters. The issuers of structured bonds can be various companies, including those outside the financial sector. Structured investment certificates may be issued by closed-end investment funds and the investor’s return depends on changes in a particular underlying index.

Individual instruments can vary in their level of protection, ranging from a 100% guarantee to partial protection. Some structured products offer a minimum rate of return guarantee. However, it is worth bearing in mind that a higher guarantee means a lower return on investment.

Structured instruments can also be categorized by their ability to generate cash flows for investors.

There are instruments that offer regular cash flows during the investment period, as well as those that only generate returns at the end of the investment period.

The growing interest in structured products encourages many non-financial corporations to consider using this group of financial innovations to raise sources of financing for their activities, including large long-term projects.

Corporate structured finance products

Structured products issued by corporations are complex financial instruments in which the issuer undertakes to pay an investor at maturity a certain amount depending on the level of the chosen parameter based on a predefined payoff formula.

Corporate financial products are commonly classified into structured debt instruments (promissory notes or structured bonds) and so-called hybrid instruments.

A hybrid instrument combines several components of the issuing company’s capital. Some hybrid instruments may also contain derivatives in their structure, but they will relate to other products of the same issuer. Investor profits for hybrid instruments depend on changes in one or more variables that are beyond the control of the issuer, such as fluctuations in exchange rates or commodity prices.

It is explained by the convenience of combining the process of capital raising with the process of business risk management, in particular, capital structure risks, interest rate risks, currency risks and commodity price fluctuations.

Corporate structured products can be based on any assets of the issuing company.

-Equity-linked notes.
-Commodity-linked notes.
-Interest rate-linked notes.
-Currency-linked notes

Depending on the terms of the convertible bonds, the stock option may entitle the investor to buy a whole basket of shares or to convert into shares of the issuer’s stock if they reach the same value as the other shares.

Another type of structured instrument based on stock market performance is structured bonds, which give an investor a higher return as stock prices rise – these are equity bull notes. In the case of unsecured bull notes, their value increases when stock prices or stock indexes rise and interest rates fall.

Structured finance options for businesses

Combining several financial instruments into one, thanks to the synergistic effect, reduces transaction costs associated with the issuance of these securities and avoids the costs associated with managing derivative financial instruments. It also makes it possible to significantly reduce credit, operational and other risks associated with derivative contracts.

Competition from other companies, especially from large financial institutions offering structured products, is an additional threat. Therefore, companies that want to raise capital by issuing structured instruments should prepare their offerings in such a way that they are accessible and attractive to a wide range of investors.

After a successful issuance for some products, the company may be exposed to liquidity risk if investors decide to withdraw from the project and withdraw funds before a specified deadline. Additional risk may arise on embedded derivatives if changes in the underlying financial parameters are significantly higher than expected.

Infrastructure and investment projects offers advantages to companies stemming from the ability to flexibly shape their capital structure.

Structured products bring significant benefits to investors and issuing companies.

Today, banks and other financial institutions play a dominant role in the structured finance market, but there are examples of successful non-financial corporations that raise capital by issuing such securities.

We have extensive experience in large projects around the world, and are ready to use our financing capabilities to help your business grow and develop.
